Terms of Service
Please read these Terms of Service carefully before using StrongTowerMM services.
1. Acceptance of Terms
By accessing or using StrongTowerMM services, you agree to be bound by these Terms of Service. If you do not agree, do not use our services. These terms apply to all users, including clients, API consumers, and visitors.
2. Services
StrongTowerMM provides market making, AI-powered trading tools, technology consulting, and related infrastructure services. Services are provided on an as-is basis and may be modified, suspended, or discontinued at our discretion with reasonable notice.
3. Account Responsibilities
You are responsible for maintaining the confidentiality of your API keys and account credentials. You must notify us immediately of any unauthorized access. You are liable for all activities conducted through your account.
4. Acceptable Use
You agree not to use our services for market manipulation, money laundering, or any unlawful purpose. You will not attempt to reverse-engineer, decompile, or interfere with our systems. Violation may result in immediate termination.
5. Fees and Payment
Fees are outlined in your service agreement. Invoices are due within 30 days unless otherwise specified. We reserve the right to modify pricing with 30 days written notice. Late payments may incur interest at 1.5% per month.
6. Intellectual Property
All software, algorithms, models, documentation, and other materials provided by StrongTowerMM remain our exclusive intellectual property. You receive a limited, non-transferable license to use our services as described in your agreement.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes trading strategies, algorithms, client data, and business terms. Confidentiality obligations survive termination for 3 years.
8. Limitation of Liability
StrongTowerMM is not liable for indirect, incidental, or consequential damages including lost profits or trading losses. Our total liability is limited to fees paid in the 12 months preceding the claim. We are not liable for losses due to market conditions.
9. Indemnification
You agree to indemnify and hold harmless StrongTowerMM from claims arising from your use of our services, violation of these terms, or infringement of third-party rights.
10. Termination
Either party may terminate with 30 days written notice. We may terminate immediately for material breach or violation of acceptable use policies. Upon termination, you must cease using our services and return or destroy confidential materials.
11. Governing Law
These terms are governed by the laws of the State of Delaware. Disputes shall be resolved through binding arbitration in San Francisco, California, under JAMS rules. Each party bears its own legal costs.
